BYLAWS

ARTICLE I – NAME

 

The name of this organization shall be the Georgia Lambda State Conclave of Kappa Kappa Iota, a not-for-profit organization, which has been recognized as a tax-exempt, Internal Revenue Code Section 501(C) (3), organization from the Internal Revenue Service.

 

 

ARTICLE II – PURPOSE AND POLICIES

 

Section 1 – Purpose

 

The purpose of this organization shall be to promote the advancement of education by providing an effective network for the exchange of education and the teaching practices by educators.

 

Section 2 – Policies

 

Kappa Kappa Iota as a body shall at no time endorse or recommend any candidate for public office nor shall it take any action on partisan or religious questions or on legislative matters.

 

 

ARTICLE III – STRUCTURE

 

Lambda State Conclave shall consist of local conclaves and members-at-large.

 

A.      A minimum of ten (10) eligible persons shall constitute a local conclave.

 

B.       The State President shall authorize the organization of a local conclave

 

 

ARTICLE IV – MEMBERSHIP

 

Section 1 – Eligible Membership.

 

Membership in Kappa Kappa Iota shall be extended to persons of good character who are recognized leaders in the profession of education.

 

 

A.        Professional Membership

  1. Educators (The term “Educators” shall mean any person devoting a major part of time to teaching or allied work).
  2. Former educators

 

B.         Campus Membership: Full time education majors on college/university campuses.

 

Section 2 – Prospective Members

 

A.        A prospective member shall have attended one meeting of the conclave as an invited guest.

 

B.         A candidate for membership must be known and endorsed by two of the present members.

 

Section 3 – Invitation to Membership

 

A.        An affirmative vote by two-thirds (2/3) or more of the members present and voting by ballot at a regular conclave meeting approves the issuing of an invitation to membership.

 

B.         Membership shall be conferred upon invitation from the conclave involved.

 

Section 4 – Classification of Members

 

A.        The membership of Kappa Kappa Iota shall consist of persons in good standing who are active members, campus members, members on leave of absence, reinstated members, members-at-large, honorary life members, associate life members, sustaining members, honorary members, and inactive members.

  1. Active Member: A professional member who is affiliated with a local and state conclave.
  1. Campus Member: A Sophomore, Junior, or Senior who is a full time education major at an accredited college/university.

a)       Campus members are not eligible to be voting delegates at the state or national level.

b)       Campus members may be considered for active membership upon completion of a degree in education and qualifying for professional membership.

  1. Member on Leave of Absence:

a)       An active member who has been granted leave for one year from a local conclave

b)       A member who is seriously ill may apply for a leave of absence.

  1. Reinstated Member: A former member who has followed the proper procedure in requesting an active membership role.
  2. Member-at-Large A member who lives in an area where there is no local conclave.
  3. Honorary Life Member A member who has served as National President
  4. Associate Life Member: A member for ten (10) years who has reached the age of sixty (60) and has served on the State or National Executive Committee.
  5. Sustaining Member: A member whose state and National dues have been paid but whose active participation in a local conclave is impossible because of personal infirmities.
  6. Honorary Member: An outstanding person in the field of education.

a)       A state conclave may confer honorary membership on a person who has a distinguished reputation in the field of education.

b)       A person may be proposed for honorary membership in the state conclave upon approval of the State Executive Committee.

c)       An honorary member shall be entitled to attend the annual convention upon the payment of the convention registration fee and fees for any other function the member wishes to attend.

d)       Honorary members shall be sent National Kappa Kappa Iota publications.

  1. Inactive Member: A member in good standing for ten (10) years or more who is unable to participate because of the member’s infirmities.

a)       An Inactive Status Request Form must be completed, signed by the local conclave president and two (2) other current officers and received by National Headquarters.

b)       National Headquarters will determine eligibility and notify the local conclave president regarding the acceptance or denial of the request.

c)       If granted, the status change will become effective immediately.

 

B.         A member who moves to a new location should apply to the member’s local conclave for a leave of absence until such time as the member’s status changes.  The local conclave shall notify the president of the local conclave nearest the new location of the member.

 

 

ARTICLE V – FISCAL YEAR, FEES AND DUES

 

Section 1 – Fiscal Year

 

The fiscal year of Georgia Lambda State Conclave of Kappa Kappa Iota shall begin the first day of July and shall end the thirtieth day of June, next succeeding.

 

The Books and Accounts of this organization shall be kept in accordance with generally accepted accounting principals and shall be audited or reviewed annually by a committee appointed by the president at the end of each fiscal year.

 

Section 2 – Fee and Dues

 

A.         National and State Dues

  1. National dues as set by the National Conclave and State dues as set by the State Conclave shall be paid by every member each year to the local treasurer who shall in turn pay the State Treasurer by June 1.
  2. National dues shall then be paid by the State Treasurer to National Headquarters no later than July 1.

 

B.         Local Dues: Annual dues of the local conclave shall be set by the local conclave and paid by May 15.

 

C.         Dues for Leave of Absence: A member who has been granted a leave of absence continues to pay state and national dues.

 

D.         Dues for Reinstatement: A former member may apply for active membership and shall pay dues for that year required by local, state, and national conclaves.

 

E.          Dues for Member-at-Large: The member shall pay both state (if organized) and national dues.

 

F.          Dues/fees for Life Membership:

  1. Life membership (Honorary/Associate) fees shall be paid the fiscal year membership is obtained and shall be ten (10) times the regular membership dues.
  2. State and local dues must be maintained.

 

G.         Dues for Sustaining Member: The local conclave is responsible for collecting or paying the member’s dues.

 

H.         Dues for Honorary Member: The conclave that confers honorary membership is responsible for the dues of such a member.

 

I.           Dues for Inactive Member: The inactive member shall be exempt from any financial obligation.  The member’s local conclave shall pay fifty percent (50%) of the member’s national dues to cover the cost of the inactive member receiving all Kappa Kappa Iota publications until the local conclave states that it is no longer feasible.

 

J.           Dues for Campus Member:  The Campus Member shall pay local campus conclave dues, state dues, and one-half (1/2) of national dues.

 

 

ARTICLE VI – OFFICERS

 

Section 1 – Elected Officer

 

A.        The officers of the Georgia Lambda State Conclave shall be:

  1. President
  2. President-Elect
  3. First Vice President
  4. Second Vice President
  5. Recording Secretary
  6. Corresponding Secretary
  7. Treasurer
  8. Executive Board Post I
  9. Executive Board Post II
  10. Executive Board Post III
  11. Immediate Past President

 

  1. Delegate – Nation Nominating Delegate Assembly

b.       Shall have attended two out of the last five national conventions prior to the present one.

c.        Shall not be sent to the national Nominating Delegate Assembly more than two years in succession.

  1. Alternate – National Nominating Committee

d.       Shall have attended two out of the last five national conventions prior to the present one.

e.        Shall not be sent to the national Nominating Delegate Assembly more than two years in succession.

 

B.         Eligibility: State officers shall be members in good standing who have been active at the local level and have served on their Local Executive Committee.

 

C.         No local conclave may have more than two elected members on the State Executive Committee in any given year.

 

Section 2 – Election of State Officers

 

A.        Elections shall be held at the spring business meeting of the State Conclave.  The newly elected officers shall assume their duties immediately following their installation.  All records and materials shall be turned over to them as soon as possible.

 

B.         All officers shall be nominated by a nominating committee composed of five members, apportioned among the conclaves, elected by the State Executive Board at their fall meeting.

 

Section 3 – Procedure for Nominations

 

A.        Nomination of a candidate for a state office shall be made by the member’s local conclave.

 

B.         A nominee must consent in writing to run for the office(s) for which the member’s local conclave has endorsed the member.

 

C.         The consent form must be signed by the local president, approved by the local conclave, and sent with the member’s qualifications for office to the chairman of the nominating committee no later than sixty (60) days prior to the state convention.  Consent forms shall be given to local conclave presidents at the fall state meeting.

 

D.         Other nominations, with written consent, may be made from the floor at the State Convention.

 

E.          No member shall be elected state president without having served as a local president.

 

F.          The term of office of an elected state officer shall be one year, with the exception of Treasurer, who may serve successive terms of office.

 

Section 4 – Duties of Officers

 

A.        President

  1. Open and preside at all meetings of the State Conclave, the State Executive Committee, and the State Board of Directors.
  2. Oversee all business of Kappa Kappa Iota.
  3. Serve as an ex-officio member of all committees except the Nominating Committee.

 

B.         President – Elect

  1. Assist the President, and in the President’s absence preside.
  2. Serve as Chaplain.
  3. Serve as chairman of the Business Committee.
  4. Prepare a proposed budget for the ensuing year.
  5. Serve as chairman of the Auditing Committee.

 

C.         First Vice President

  1. Assist the President
  2. Preside in the absence of the President and President-Elect.
  3. Serve as chairman of the President’s Book Committee

 

D.         Second Vice President

  1. Assist the President
  2. Serve as chairman of the History Committee.

 

E.          Recording Secretary

  1. Keep the minutes of the meeting of the State Conclave, the State Executive Committee, and the State Board of Directors.
  2. Send a copy of the minutes of the state meetings to each Board of Directors member.
  3. Notify promptly, in writing, those members elected to the nominating committee.
  4. Assist the President.

 

F.          Corresponding Secretary

  1. Give written notice of each state meeting to the members.
  2. Assist the President.

 

G.         Treasurer

  1. Keep an accurate membership list of all conclaves and notify the Corresponding Secretary of any changes.
  2. Receive and receipt all funds.
  3. Keep an accurate record of all financial transactions.
  4. Issue checks counter-signed by President.
  5. Submit yearly report at annual state convention and provide each delegate a written copy.
  6. Place all scholarship monies in appropriate funds.
  7. Be bonded for $10,000.00.

 

H.         Executive Board Post I

  1. Serve as chairman of the Public Relations Committee.
  2. Print a copy of the state publication, Kappa Kan-Kan, for each member two times a year.

 

I.           Executive Board Post II

Serve as chairman of the Yearbook Committee.

 

J.           Executive Board Post III

Serve as chairman of the Hospitality Committee

 

K.         Immediate Past President

  1. Continue on the Executive Committee for the term of the successor and have a voice and a vote.
  2. Advise the President, as requested by the President.
  3. Serve as chairman of the Membership Committee.

 

L.          Delegate to National Nominating Delegate Assembly

Attend the Delegate Assembly meeting at National Convention.

 

M.       Alternate to National Nominating Delegate Assembly

Attend the Delegate Assembly meeting at National Convention in the absence of the delegate.

 

 

ARTICLE VII – EXECUTIVE COMMITTEE

 

Section 1 – Membership

 

A.        The State Executive Committee shall consist of the elected officers and the Parliamentarian.  Each member shall have one vote, with the exception of the Delegate and Alternate to National Nominating Delegate Assembly, who shall share one vote between them, and the Parliamentarian, who is a non-voting member.

 

B.         The State President shall appoint a Parliamentarian who is a Kappa Kappa Iota member.  The Parliamentarian shall act as advisor to the President on parliamentary procedures and attend all called meetings of the Executive Committee, Board of Directors, annual meetings, and Nominating Committee.

 

Section 2 – Duties

 

A.        The State Executive Committee shall transact any business occurring during the interim between regular meetings of the State Conclave.

 

B.         The State Executive Committee shall fill vacancies in the Executive Committee, except in the office of President.  A vacancy in the presidency shall automatically be filled by the President-Elect.  The office of President-Elect shall remain vacant for the unexpired term.

 

Section 3 – Ethics

 

A.        Elected and appointed members of the Executive Committee shall keep in strict confidence all discussions within Executive Session.

 

B.         Elected and appointed members of the Executive Committee shall not use their positions of leadership in Kappa Kappa Iota for personal gain.

 

Section 4 – Quorum

 

A quorum for a meeting of the State Executive Committee shall consist of seven (7) members who are eligible to vote.

 

 

ARTICLE VIII – BOARD OF DIRECTORS

 

Section 1 – Membership

 

The Board of Directors shall be composed of the members of the State Executive Committee, Past State Presidents, State Standing Committee Chairmen, and Local Presidents.

 

Section 2 - Duties

 

A.        The Board of Directors shall have two meetings a year, one in June and the other around mid-year.

 

B.         The Board of Directors shall act upon reports of the committees and shall make recommendations to the members at the state meetings.

 

C.         Each member of the Board of Directors shall have one vote, with the exceptions of the Delegate and Alternate to the National Nominating Delegate Assembly (1/2) vote each) and the Parliamentarian (no vote).

 

Section 3 – Quorum

 

A quorum for a meeting of the Board of Directors shall be a majority of the members present.

ARTICLE IX – COMMITTEES

 

Section 1 – Appointments

 

All standing committees, unless otherwise ordered, shall be appointed by the President and shall be approved by the Executive Committee.

 

 

 

 

Section 2 – Standing Committees

 

The following shall be standing committees: Auditing, Business, Bylaws, Empathy, History, Hospitality, Membership, Memorial, Music, Professional Development, Public Relations/Philanthropic, Scholarship, Special Projects, Yearbook, and other committees as deemed necessary to execute the work of the State Conclave.

 

Section 3 – Duties

 

A.        Auditing

Examine the treasurer’s records for accuracy at the close of the fiscal year.

 

B.         Business

Establish a realistic budget for the State Conclave and present it to the Board of Directors for adoption.

 

C.         Bylaws

  1. Review the State Bylaws and Standing Rules annually.
  2. Make necessary technical and typographical changes in the Bylaws in order to assure editorial continuity, subject to approval of the Executive Committee.

 

D.         Empathy

  1. Receive empathy concern reports (as provided by national) from each local conclave empathy chairman.
  2. Send a greeting card to the person in need and mail the duplicate empathy concern report to the National Empathy Chairman.
  3. Encourage empathy within the state.
  4. Make a report at State meetings.
  5. File a report of any deceased members to the National Executive Headquarters and the National President.

 

E.          History

Provide each conclave with printed forms for updating the conclave history each year and keep it on file.

 

 

 

F.          Hospitality

Work in conjunction with host conclave, or conclaves, in making local arrangements for lodging, meeting rooms, and any special programs for State meetings.

 

G.         Membership

  1. Assist in the formation of new conclaves.
  2. Render assistance to any conclave, when requested.
  3. Conduct initiation at the fall State meeting.

 

H.         Memorial

Conduct a memorial service for each deceased member at the spring State Convention.

 

I.           Music

  1. Provide music for state meetings.
  2. Encourage members to sing at local and state meetings.

 

J.           Professional Development

Provide professional development opportunities to the general membership.

 

K.         Public Relations/Philanthropic

  1. Publish the Lambda State Newsletter, Kappa Kan-Kan, twice a year (fall and spring.)
  2. Promote the participation in philanthropic projects.

 

L.          Scholarship

  1. Review guidelines and application forms for state scholarships annually and make new ones, if necessary.
  2. Distribute guidelines and application forms for both the Whelchel-Wootton and Arienne Thrasher Scholarships to each conclave.
  3. Award the Whelchel-Wootton Scholarship to a high school senior or a college student planning to enter the teaching profession upon graduation from college.
  4. Award the Arienne Thrasher Scholarship to a member of Kappa Kappa Iota who desires to continue professional growth by taking enrichment courses or by working toward a higher degree.
  5. Issue guidelines, requirements, and application forms (Provided by National Scholarship Committee) to each conclave having a member who desires to apply for a National Scholarship.
  6. Provide guidance to the applicant in conjunction with the State President and the National Scholarship Committee.
  7. Set and enforce deadlines to be met in receiving application forms for State and National Scholarships. (National deadlines are set by the National Scholarship Committee.)
  8. Select the winning applicants and present their names and a brief review of their general qualifications to the State Executive Committee for confirmation.
  9. Announce the winners at the State Convention.

 

M.       Special Projects

  1. Recommend methods of fund raising to the State Executive Committee.
  2. Provide for execution of the approved projects.

 

N.         Yearbook

  1. Provide each conclave with the forms for listing conclave members’ names, addresses, telephone numbers, and other such information as may be necessary.
  2. Combine this information and introductory pages of pertinent state information for use in a loose-leaf notebook.

 

 

ARTICLE X – NOMINATING COMMITTEE

 

Section 1 – Meetings

 

  1. Meet at least thirty (30) minutes prior to State Christmas Luncheon and elect chairman.
  2. Meet at least fifty (50) days prior to State Convention to prepare a slate of officers.

Section 2 – Duties

 

  1. Nominate candidates for all offices listed in ARTICLE VI, Section 1, of these bylaws.
  2. Send a copy of the proposed slate of officers to the State President, the State Recording Secretary, each conclave president, and each person nominated at least thirty (30) days prior to the State Convention.

 

 

ARTICLE XI – QUORUM

 

A majority of the active conclaves shall constitute a quorum for the Fall Festival and the State Convention.

 

 

ARTICLE XII – MEETINGS

 

A.      The annual meetings shall be held at a time and place convenient for the most number of members and shall be set by the State Board of Directors at the June meeting.

 

B.       Other state meetings shall be held:

  1. Upon the call of the President,
  2. Upon the petition of at least six members of the State Executive Committee.

 

C.       It is advisable to have three Executive Committee meetings and two Board of Directors meetings per year.

 

 

ARTICLE XIII – RULES OF THE ORDER

 

Section 1 – Parliamentary Authority

 

All business shall be conducted according to Robert’s Rules of Order Newly Revised unless otherwise provided by these bylaws.

 

Section 2 – Order of Business

 

All business shall be conducted in the following manner:

                Call to order

                Roll call

                Reading of the minutes

                Treasurer’s report

                Correspondence

                Reports of board and committees

Unfinished business

                New business

                Announcements

                Adjournment

 

 

ARTICLE XIV – PINS, CARDS, COLORS, RITUALS

 

Section 1 – Pins

 

The official pin of the order shall be a design of the violet encircled by a band of yellow gold.  The lamp of learning and the letters K K I shall be placed upon the violet.  The circle shall be set forth with pearls as desired.

 

Section 2 – Cards

 

Uniform membership cards shall be issued annually to all members in good standing.

 

Section 3 – Colors

The colors of this organization shall be yellow gold and the blue of the violet

 

Section 4 – Rituals

 

State and local conclaves shall use the rituals as adopted by the National conclave.

 

 

ARTICLE XV LOCAL CONCLAVES

 

Section 1 – Election of Officers

 

A.        A nominating committee composed of five members shall be elected from the floor by the members present at the February meeting.

 

B.         The nominating committee shall present the list of candidates for election at the March meeting.  Additional nominations may be made from the floor.

 

C.         Officers of a local conclave may be the same as those of the State Conclave.

 

D.         Local officers shall be elected annually during the month of March.

 

E.          Newly elected officers shall be installed during the month of May and shall begin their duties at the close of the meeting at which they are installed.

 

Section 2 –Application and Election of New Members

 

A.        Any member who wishes to propose a person for membership shall complete an application blank as prescribed by the state conclave.  This application shall be signed by two members who know the applicant and be presented to the membership committee which, in turn, shall present it, with the committee’s recommendation, to the executive board.

 

B.         Initiating officers shall be appointed by the President.

 

C.         Members of Kappa Kappa Iota are initiated only once.

 

Section 3 – Bylaws

 

No provision in the bylaws of any local conclave shall be in conflict with the bylaws of the National or State Conclaves.

 

Section 4 – Meetings

 

Local conclaves shall have at least eight (8) meetings during the fiscal year.

 

 

ARTICLE XVI – AMENDMENTS

 

Section 1

 

These bylaws may be amended or revised by a two-thirds (2/3) vote of the State conclave provided written notice of such proposed change has been given to all local conclaves at least thirty (30) days in advance.

 

 

Section 2

 

Amendments to the bylaws may be proposed by any local conclave.  These amendments must be submitted to the State Bylaws Committee Chairman at least ninety (90) days prior to the State Convention and who, in turn, shall act in accordance with Section 1 of this article.

 

 

ARTICLE XVII – STATE MEETINGS

 

Section 1

 

All State meetings (Fall Festival, Christmas Luncheon, and State Convention) are sponsored by the State Conclave.

 

Section 2

 

The chairman of the Hospitality Committee, in conjunction with host conclave or conclaves, shall make local arrangements for lodging, meeting rooms, and any special programs.

Section 3

 

Table decorations and favors will be provided by the host conclave(s) and may be sold to defray the expenses.

 

Section 4

 

Flowers and/or gifts for special dignitaries shall be purchased by the State Treasurer from the State treasury funds.

 

Section 5

The State Treasurer shall be at the registration table for all State functions.

 

Section 6

 

All bills for each state meeting shall be presented to the State Treasurer at the conclusion of the meeting.

 

 

 

Section 7

 

All monies received for registration, meals, and/or activities planned in conjunction with the state meetings shall be disbursed by the State Treasurer at the conclusion of the meeting.

 

 

ARTICLE XVIII – DISSOLUTION OF CONCLAVE

 

Upon dissolution of a state or local conclave, the State President shall contact National Headquarters and shall take the necessary steps to complete the dissolution of the conclave involved.

 

 

ARTICLE XIX – INDEMNIFICATION OF OFFICERS

 

To the extent and in the manner permitted by the laws of the State of Oklahoma and specifically as permitted under Section 1030 of Title 18 of the Oklahoma Statutes, this organization shall indemnify any person who was or is party or is threatened to be made a party to any threatened, pending, or completed action, suit, or proceeding, whether civil, criminal, criminal, administrative, or investigative, other than an action by or in the right of this organization, by reason of the fact that such person is or was a director, officer, employee, or agent of this organization, or was serving at the request of this organization as a director, officer, employee, or agent of anther corporation, partnership, joint venture, trust, or other enterprise against expenses, including attorneys’ fees, judgments, fines, and amounts in settlement.
